ClearMetrics Terms & Conditions
1. Scope of Services
ClearMetrics will provide data consultancy services as outlined in the agreed proposal or contract. Any changes to the scope must be mutually agreed in writing.
2. Client Responsibilities
Clients must provide accurate, timely data and necessary access to systems or personnel to facilitate ClearMetrics' work.
3. Confidentiality
Both parties agree to keep all confidential information shared during the engagement secure and not disclose it to third parties except as required by law.
4. Intellectual Property
All original data, reports, and deliverables produced by ClearMetrics remain the property of ClearMetrics until full payment is received. Upon payment, clients are granted a license to use the deliverables for their intended purpose.
5. Payment Terms
Invoices are payable within 30 days of the invoice date. Late payments will incur interest at a rate of 5% per month on the outstanding balance. Accepted payment methods include Bank Transfer, Credit/Debit Card and PayPal.
6. Termination

For one-off projects, ClearMetrics may stop work immediately upon termination. Clients will be charged only for work completed up to that point, and any pre-paid amounts for uncompleted work will be refunded.

For periodic services (monthly, quarterly, bi-annual), no notice period is required; billing and work will cease immediately with the same payment/refund policy mentioned above.

For retainer agreements, a minimum of one month's written notice is required to terminate the agreement.
7. Limitation of Liability
ClearMetrics will perform services with reasonable skill and care but shall not be liable for any indirect, incidental, or consequential damages arising from the use of its services.
8. Satisfaction Guarantee
At ClearMetrics, we strive for 100% client satisfaction. If you are not happy with the outcome of our work, please contact us promptly. We will either provide a full refund or discuss options to rescope the project to meet your expectations and requirements.
9. Data Security & Privacy
ClearMetrics complies with UK data protection laws, including the UK GDPR and the Data Protection Act 2018. We follow industry best practices to protect client and customer data. Clients are responsible for ensuring their use of the data complies with applicable laws.
10. Data Retention
ClearMetrics will retain client data only as long as necessary to fulfil the contracted services or comply with legal obligations. Upon request, client data will be securely deleted or returned.
11. Subcontracting
ClearMetrics reserves the right to subcontract parts of the services but remains responsible for the delivery and quality of all work.
12. Use of Client Feedback and Testimonials
ClearMetrics may request permission to use client feedback or testimonials for marketing purposes. Use is subject to client consent.
13. Use of Client Name and Logo
ClearMetrics may use client names and logos in marketing and promotional materials unless the client explicitly requests otherwise in writing.
14. Data Normalisation and Marketing Use
ClearMetrics reserves the right to normalise and anonymise data from client projects for internal analysis and marketing purposes. Such data will be processed to ensure it cannot be linked back to any client or contain sensitive information.
15. Governing Law
These terms shall be governed by and construed in accordance with the laws of England and Wales.
16. Dispute Resolution
In the event of a dispute, both parties agree to negotiate in good faith to resolve the matter amicably before pursuing any legal action.
17. Warranty Disclaimer
ClearMetrics provides all services "as is" and makes no guarantees regarding specific outcomes or results from the consultancy work.
18. Indemnity
Clients agree to indemnify and hold harmless ClearMetrics from any claims, damages, or expenses arising out of the client's misuse of deliverables or failure to comply with legal obligations.
19. Third-Party Services
Where ClearMetrics uses third-party tools or services, liability related to these is limited to the extent permitted by law. ClearMetrics is not responsible for the availability or performance of such third-party services.
20. Amendments
ClearMetrics reserves the right to update or amend these Terms & Conditions at any time, with reasonable notice provided to clients.
